1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Cardiometcare Plus Health Solutions Pvt Ltd, a company incorporated under the laws of India, operating under the brand name ClinAlly ("Company", "we", "us", or "our"), with its registered address at Gurugram, Haryana, India — 110038.

By downloading, installing, accessing, or using ai.m Healthy (com.clinally.aimhealthy), or by visiting our website at clinally.com, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms in their entirety, you must immediately discontinue use of the application.

2. Description of Services

ai.m Healthy is a personal health management application developed by ClinAlly. It provides the following features to individuals and patients:

• Health tracking: Log and monitor vitals such as blood pressure, blood glucose, heart rate, SpO₂, weight, and other health metrics
• Wellness insights: Receive personalised health insights, trends, and recommendations based on your logged data
• Medication reminders: Set and receive reminders for medications, appointments, and wellness activities
• Health record storage: Securely store and organise your personal health records, lab reports, and prescriptions
• ABDM integration: Link your Ayushman Bharat Health Account (ABHA) to share health records with consented healthcare providers
• Health education: Access curated health articles, condition guides, and wellness content
• Care coordination: Share health summaries with your doctors or caregivers with your explicit consent

ai.m Healthy is a wellness and health management tool. It does not provide medical diagnoses or replace professional medical advice, diagnosis, or treatment.

3. Eligibility

To use ai.m Healthy, you must:

• Be at least 18 years of age. Users aged 13–17 may use ai.m Healthy only with explicit parental or guardian consent and supervision.
• Be a citizen or resident of India, or an individual accessing our services for lawful purposes under applicable law.
• Have the legal capacity to enter into a binding agreement.
• Not be prohibited by any applicable law from using health tracking applications.

We reserve the right to verify eligibility at any time and to suspend or terminate accounts that do not meet these requirements.

4. Account Registration and Security

To access ai.m Healthy features, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information to keep it accurate and current
• Maintain the confidentiality of your password and account credentials
• Accept sole responsibility for all activity that occurs under your account
• Notify us immediately at info@clinally.com if you become aware of any unauthorised use of your account

You may not share your account credentials with any third party. Your account is personal to you and may not be used on behalf of another individual without their explicit consent.

5. Medical Disclaimer

ai.m Healthy is a personal wellness and health tracking application. The health information, insights, trends, reminders, and educational content provided through the app are intended as informational and self-management aids only.

• ai.m Healthy does not provide medical diagnoses, clinical assessments, or prescriptions.
• Health insights and trend analysis generated by the app are based on the data you enter and are not a substitute for professional medical diagnosis, advice, or treatment.
• You should not use ai.m Healthy to self-diagnose or self-treat any medical condition. Always consult a qualified and licensed healthcare professional for medical concerns.
• ClinAlly does not practice medicine and ai.m Healthy does not create a doctor-patient relationship between ClinAlly and any user.
• In the event of a medical emergency, call 112 (India's national emergency number) or your local emergency services immediately. Do not rely on ai.m Healthy for emergency medical guidance.
• Any medication reminder feature is a convenience tool only. Always follow your doctor's prescription and consult your healthcare provider before changing any medication regimen.

ClinAlly, its directors, employees, and affiliates expressly disclaim liability for any health decision made in reliance solely on content provided by ai.m Healthy without appropriate professional assessment.

6. Health Tracking Features

When using ai.m Healthy's health tracking and data features, you agree to the following:

6.1 Accuracy of Data

You are solely responsible for the accuracy of health data you enter into ai.m Healthy. ClinAlly is not responsible for any inaccuracies in manually entered data or for data received from connected third-party devices.

6.2 Connected Devices

ai.m Healthy may integrate with wearable devices and health monitors. The accuracy of data from such devices is subject to the manufacturer's specifications. ClinAlly is not liable for inaccurate readings from third-party hardware.

6.3 Health Record Uploads

You may upload personal health documents including lab reports, prescriptions, and discharge summaries. By uploading such documents, you confirm you have the right to store and share them. These documents are stored securely and accessible only to you and those you explicitly authorise.

6.4 Sensitive Health Data

Certain features (such as menstrual health tracking) involve sensitive personal data. Use of these features is entirely optional. You may enable or disable them at any time from within the app settings.

7. Acceptable Use Policy

You agree not to use ai.m Healthy to:

• Violate any applicable local, state, national, or international law or regulation
• Impersonate any person or entity, or provide false health information
• Upload or transmit any content that is unlawful, harmful, abusive, defamatory, or invasive of another's privacy
• Introduce any virus, malware, ransomware, or other malicious code
• Attempt to gain unauthorised access to any part of our systems or other user accounts
• Reverse engineer, decompile, or disassemble any part of the application
• Scrape, harvest, or collect data from our platform without express written permission
• Use our services to develop a competing product or service
• Use our services for any purpose that is fraudulent, deceptive, or harmful to public health

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account and may be reported to relevant law enforcement or regulatory authorities.

8. Intellectual Property

All content, software, algorithms, trade marks, logos, design elements, and other materials available through ai.m Healthy are the exclusive intellectual property of Cardiometcare Plus Health Solutions Pvt Ltd or are licensed to us by third parties.

Nothing in these Terms grants you any right, title, or interest in our intellectual property. You may not reproduce, modify, distribute, publish, or create derivative works from any ClinAlly content without our express prior written consent.

You retain ownership of all health data and documents you enter or upload into the app. By using our services, you grant us a limited, non-exclusive, royalty-free licence to process such data solely for the purpose of providing and improving our services as described in our Privacy Policy.

9. Privacy

Your use of ai.m Healthy is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using ai.m Healthy, you consent to the collection, use, and sharing of your information as described in the Privacy Policy.

We are committed to protecting your health data. Health data is encrypted at rest and in transit and is never sold to advertisers or data brokers.

10. ABDM Integration Terms

If you link your Ayushman Bharat Health Account (ABHA) with ai.m Healthy:

• You acknowledge that health record sharing via ABDM is subject to the National Health Authority's policies and the ABDM framework
• You confirm that you understand the consent architecture and are voluntarily linking your ABHA account
• You may revoke ABDM consent and unlink your ABHA account at any time from within the app settings
• ClinAlly acts as a Health Information User (HIU) and/or Health Information Provider (HIP) within the ABDM ecosystem, and will process health information only in accordance with active consent artefacts you have granted
• Linking your ABHA enables your health records to be accessed by consented healthcare providers — you control exactly which providers can access your records and for how long

11. Limitation of Liability

To the maximum extent permitted by applicable law, ClinAlly and its officers, directors, employees, agents, affiliates, and licensors shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, goodwill, or other intangible losses
• Any health or medical outcome resulting from reliance on content provided by ai.m Healthy without professional medical consultation
• Any harm resulting from inaccurate health data entered by the user or from third-party connected devices
• Any harm resulting from unauthorised access to or alteration of your data
• Any interruption or cessation of our services

In no event shall ClinAlly's total cumulative liability to you for all claims exceed the amount you paid to ClinAlly in the twelve (12) months preceding the event, or ₹5,000 (Indian Rupees Five Thousand), whichever is greater.

12. Indemnification

You agree to defend, indemnify, and hold harmless ClinAlly and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses arising out of or in connection with:

• Your use of, or inability to use, ai.m Healthy
• Your violation of these Terms
• Your violation of any applicable law or third-party rights
• Any health decision made using content from ai.m Healthy without appropriate professional consultation
• Any content, data, or documents you submit, upload, or transmit through our services

13. Termination

You may terminate your account at any time by using the account deletion option within ai.m Healthy's app settings or by contacting us at info@clinally.com. Upon termination, your right to use the application ceases immediately.

We reserve the right to suspend or terminate your account at any time for:

• Violation of these Terms or our Acceptable Use Policy
• Fraudulent, deceptive, or harmful conduct
• Any conduct that poses a risk to the safety of our platform, other users, or the public

Sections 5, 8, 11, 12, and 14 of these Terms survive termination.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiation. If not resolved within 30 days, the dispute shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Gurugram, Haryana, India.

The courts of Gurugram, Haryana shall have exclusive jurisdiction for interim relief pending arbitration.

15. Changes to These Terms

We may modify these Terms from time to time. We will notify you of material changes by updating the "Last updated" date at the top of this page and, where appropriate, by sending a notification through the application or by email.

Your continued use of ai.m Healthy after the effective date of any change constitutes your acceptance of the revised Terms.
