1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Cardiometcare Plus Health Solutions Pvt Ltd, a company incorporated under the laws of India, operating under the brand name ClinAlly ("Company", "we", "us", or "our"), with its registered address at Gurugram, Haryana, India — 110038.

By downloading, installing, accessing, or using any ClinAlly application (including but not limited to mPower Health and ai.m Healthy), or by visiting our website at clinally.com, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms in their entirety, you must immediately discontinue use of our services.

2. Description of Services

ClinAlly provides the following services through its applications and platforms:

2.1 mPower Health

A clinical decision support and practice management platform designed for use by licensed healthcare professionals (doctors, nurses, and allied health workers). mPower Health provides evidence-based clinical recommendations, drug interaction alerts, diagnostic support, and patient care coordination tools integrated with the Ayushman Bharat Digital Mission (ABDM).

2.2 ai.m Healthy

A personal health management application designed for individuals to track their health metrics, manage chronic conditions, store and share health records, and access health education content. ai.m Healthy is a wellness and health management tool and does not provide medical diagnoses or replace professional medical advice.

2.3 Website and API Services

Information, resources, and integration services available through clinally.com and ClinAlly's API ecosystem for partner organisations.

3. Eligibility

To use ClinAlly services, you must:

• Be at least 18 years of age. Users aged 13–17 may use ai.m Healthy only with explicit parental or guardian consent and supervision.
• Be a citizen or resident of India, or an individual accessing our services for lawful purposes under applicable law.
• Have the legal capacity to enter into a binding agreement.
• For mPower Health: be a licensed medical professional registered with the National Medical Commission (NMC) of India or an equivalent state medical council, or be a healthcare worker duly authorised by a registered medical practitioner.

We reserve the right to verify eligibility at any time and to suspend or terminate accounts that do not meet these requirements.

4. Account Registration and Security

To access certain features of our services, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information to keep it accurate and current
• Maintain the confidentiality of your password and account credentials
• Accept sole responsibility for all activity that occurs under your account
• Notify us immediately at info@clinally.com if you become aware of any unauthorised use of your account

You may not share your account credentials with any third party. For mPower Health, each account is personal to the registered healthcare professional and may not be used by colleagues, assistants, or any other individual.

5. Medical Disclaimer

The clinical decision support content, recommendations, drug alerts, diagnostic suggestions, and health information provided by ClinAlly's applications are intended as informational and educational aids only. They are designed to support—not replace—the professional judgment of a licensed and qualified healthcare provider.

• Clinical recommendations generated by i-CDSS or any ClinAlly application are not a substitute for professional medical diagnosis, advice, or treatment.
• Healthcare professionals must independently verify all clinical information and apply their own professional judgment before acting on any suggestion, alert, or recommendation provided by our applications.
• ai.m Healthy users should not use health tracking data or health information available through the app to self-diagnose or self-treat any medical condition. Always consult a qualified healthcare professional for medical advice.
• ClinAlly does not practice medicine and does not create a doctor-patient relationship between ClinAlly and any user.
• In the event of a medical emergency, call 112 (India's national emergency number) or your local emergency services immediately. Do not rely on any app for emergency medical guidance.

ClinAlly, its directors, employees, and affiliates expressly disclaim liability for any clinical decision made in reliance solely on content provided by our applications without appropriate professional assessment.

6. Professional Use — mPower Health

Healthcare professionals using mPower Health agree to the following additional terms:

• You represent and warrant that you hold a valid, current, and unrestricted licence to practice medicine or provide healthcare services in the jurisdiction where you use the application.
• You agree to use patient data entered into mPower Health in compliance with all applicable laws, including the Digital Personal Data Protection Act, 2023, ABDM guidelines, and professional ethical obligations.
• You accept sole professional and clinical responsibility for all diagnoses made and treatments prescribed, regardless of any clinical decision support provided by the application.
• You will obtain informed consent from patients before entering their personal health information into mPower Health, as required by applicable law.
• You will not use mPower Health as the sole basis for any clinical decision. The application is an aid, not an autonomous clinical system.

7. Acceptable Use Policy

You agree not to use ClinAlly services to:

• Violate any applicable local, state, national, or international law or regulation
• Impersonate any person or entity, or falsely claim professional credentials
• Upload or transmit any content that is unlawful, harmful, abusive, defamatory, or invasive of another's privacy
• Introduce any virus, malware, ransomware, or other malicious code
• Attempt to gain unauthorised access to any part of our systems, other user accounts, or connected networks
• Reverse engineer, decompile, or disassemble any part of our applications
• Scrape, harvest, or collect data from our platform without express written permission
• Use our services to develop a competing product or service
• Use our services for any purpose that is fraudulent, deceptive, or harmful to public health

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account and may be reported to relevant law enforcement or regulatory authorities.

8. Intellectual Property

All content, software, algorithms, trade marks, logos, design elements, clinical knowledge bases, and other materials available through ClinAlly's applications and website are the exclusive intellectual property of Cardiometcare Plus Health Solutions Pvt Ltd or are licensed to us by third parties.

Nothing in these Terms grants you any right, title, or interest in our intellectual property. You may not reproduce, modify, distribute, publish, or create derivative works from any ClinAlly content without our express prior written consent.

You retain ownership of any data you input into our applications (such as patient records or personal health data). By using our services, you grant us a limited, non-exclusive, royalty-free licence to process such data solely for the purpose of providing and improving our services as described in our Privacy Policy.

9. Privacy

Your use of ClinAlly services is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using our services, you consent to the collection, use, and sharing of your information as described in the Privacy Policy.

10. ABDM Integration Terms

If you link your Ayushman Bharat Health Account (ABHA) with any ClinAlly application:

• You acknowledge that health record sharing via ABDM is subject to the National Health Authority's policies and the ABDM framework
• You confirm that you understand the consent architecture and are voluntarily linking your ABHA account
• You may revoke ABDM consent and unlink your ABHA account at any time from within the app settings
• ClinAlly acts as a Health Information User (HIU) and/or Health Information Provider (HIP) within the ABDM ecosystem, as applicable, and will process health information only in accordance with active consent artefacts you have granted

11. Limitation of Liability

To the maximum extent permitted by applicable law, ClinAlly and its officers, directors, employees, agents, affiliates, and licensors shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, goodwill, or other intangible losses
• Any clinical or medical outcome resulting from reliance on content provided by our applications
• Any harm resulting from unauthorised access to or alteration of your data
• Any interruption or cessation of our services

In no event shall ClinAlly's total cumulative liability to you for all claims arising out of or relating to these Terms or your use of our services exceed the amount you paid to ClinAlly in the twelve (12) months preceding the event giving rise to the claim, or ₹5,000 (Indian Rupees Five Thousand), whichever is greater.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for certain types of damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

12. Indemnification

You agree to defend, indemnify, and hold harmless ClinAlly and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use of, or inability to use, our services
• Your violation of these Terms
• Your violation of any applicable law or third-party rights
• Any clinical decision made using our applications
• Any content you submit, post, or transmit through our services

13. Termination

You may terminate your account at any time by contacting us at info@clinally.com or using the account deletion option within the application. Upon termination, your right to use our services ceases immediately.

We reserve the right to suspend or terminate your account and access to our services at any time, with or without notice, for any of the following reasons:

• Violation of these Terms or our Acceptable Use Policy
• Non-payment of applicable fees (if any)
• Fraudulent, deceptive, or harmful conduct
• Any conduct that we determine, in our sole discretion, poses a risk to the safety of our platform, other users, or the public

Sections 5, 8, 11, 12, and 14 of these Terms survive termination.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Any dispute, controversy, or claim arising out of or relating to these Terms or your use of ClinAlly services shall first be attempted to be resolved through good-faith negotiation between the parties. If not resolved within 30 days, the dispute shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996 (as amended), with the seat of arbitration in Gurugram, Haryana, India, and proceedings conducted in English.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration. The courts of Gurugram, Haryana shall have exclusive jurisdiction for such interim relief.

15. Changes to These Terms

We may modify these Terms from time to time. We will notify you of material changes by updating the "Last updated" date at the top of this page and, where appropriate, by sending a notification through the application or by email.

Your continued use of our services after the effective date of any change constitutes your acceptance of the revised Terms. If you do not agree with the changes, you must stop using our services and delete your account.
